Welcome to Sierra ELD LLC. By accessing or using our website, software, dashboards, mobile applications, APIs, or related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.

1. Definitions

• “Company” refers to Sierra ELD LLC.
• “User” refers to any individual or entity accessing or using the Services.
• “Platform” refers to all Sierra ELD software, websites, dashboards, and APIs.
• “ELD” refers to Electronic Logging Device–related software functionality.

2. Acceptance of Terms

By using the Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Nature of the Services

Sierra ELD LLC provides software tools only. We do not operate motor vehicles, dispatch drivers, certify compliance, or provide legal, regulatory, or safety advice.

4. User Responsibilities

Users are solely responsible for:

• Accuracy and completeness of all data entered into the Platform
• Hours of Service (HOS) compliance
• Driver behavior and training
• Proper installation and use of ELD devices
• All submissions to auditors or regulatory authorities

Any fines, penalties, citations, audits, or out-of-service orders are the sole responsibility of the User.

5. Compliance Disclaimer

Use of the Services does not guarantee compliance with FMCSA, DOT, or any other laws or regulations. Users are encouraged to consult legal counsel or compliance professionals.

6. Prohibited Use

Users may not:

• Falsify or manipulate records
• Use the Platform for unlawful purposes
• Interfere with system security or performance
• Introduce third-party software that disrupts service
• Attempt to reverse engineer or copy the Platform

7. Intellectual Property

All trademarks, logos, software, designs, and content are the exclusive property of Sierra ELD LLC and may not be used without written permission.

8. Data & Privacy

Sierra ELD LLC may collect operational and technical data necessary to provide and improve the Services. Users confirm they have legal authority to provide all submitted data.

9. Limitation of Liability

To the maximum extent permitted by law, Sierra ELD LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to:

• FMCSA or DOT fines
• Audit results
• Loss of revenue or business interruption
• Data inaccuracies

Total liability, if any, shall not exceed the fees paid by the User during the three (3) months prior to the claim.

10. Indemnification

Users agree to defend, indemnify, and hold harmless Sierra ELD LLC from any claims, penalties, losses, or legal actions arising from use of the Services or violation of these Terms.

11. Termination

Sierra ELD LLC may suspend or terminate access to the Services at any time, without notice, if these Terms are violated or misuse is suspected.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia. Any disputes shall be resolved through binding arbitration in Ashland, Virginia. Users waive any right to participate in class action lawsuits.
